Corporate governance in Tieto
Tieto Corporation is committed to good corporate governance and complies with the Finnish Corporate Governance Code issued by the Securities Market Association in Finland with the exception regarding Board committees. In addition to the Board’s Audit and Risk Committee and the Remuneration and Nomination Committee, the AGM 2010 decided to establish a Shareholders' Nomination Committee.
Tieto’s supreme decision-making body is the Annual General Meeting (AGM). The AGM elects the members of the Board of Directors and appoints auditors, decides on their compensation and discharges the members of the Board of Directors from liability. The AGM’s approval is required for option programmes as well as Board authorizations for matters like share repurchases and share issues.
